1. Agreement
These Terms of Service ("Terms") govern access to and use of the Leany ERP platform and related services (the "Service"). By creating an account, accessing the Service, or accepting these Terms, the legal entity you represent ("Customer", "you") agrees to be bound by them.
If you do not agree to these Terms, do not use the Service.
2. The Service
2.1 Provision. We grant you a non-exclusive, non-transferable, revocable right to access the Service during the Term, subject to these Terms and to payment of all applicable Fees.
2.2 Changes. We may add, modify, deprecate or remove any feature, function or integration at any time. We will use reasonable efforts to give advance notice of material changes that remove functionality you actively use, but are not obliged to do so.
2.3 Reasonable Endeavors The Service is provided on an "as is" and "as available" basis. We do not offer, and these Terms do not create, any service level agreement, uptime commitment, availability target, support response time, or performance guarantee. We may suspend, interrupt or restrict access to the Service at any time, with or without notice, including for maintenance, security, capacity, legal or commercial reasons.
2.4 No warranties. To the maximum extent permitted by applicable law, we disclaim all warranties, conditions, representations and terms of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, or arising from a course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from data loss; that defects will be corrected; that results obtained will be accurate or reliable; or that any third-party service, portal, payment provider or integration will remain available or continue to function.
2.5 Third-party services. The Service integrates with third-party providers including payment processors, property portals, mapping and data providers. We are not responsible for the acts, omissions, availability, pricing, terms or performance of any third party, and your use of a third-party service is governed by that party's own terms.
2.6 Not professional advice. The Service is software. It does not constitute legal, tax, valuation, financial, investment or industry specific advice. Any figure, estimate, currency conversion, tax calculation, document template or projection generated by the Service is provided for information only and must be independently verified before you rely on it. You remain solely responsible for your own regulatory, licensing, tax and professional obligations in every jurisdiction in which you operate.
3. Limitation of Liability
3.1 Excluded losses. To the maximum extent permitted by applicable law, we shall have no liability, whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise, for any:
- loss of profit, revenue, business, contracts, opportunity, anticipated savings or goodwill;
- loss of, corruption of, or inability to access data;
- loss arising from a failed, delayed, cancelled or disputed property transaction;
- loss arising from an inaccurate listing, price, currency conversion, tax figure, document or calculation;
- loss arising from service unavailability, interruption, degradation or suspension;
- loss arising from the act, omission or failure of any third-party provider; or
- indirect, special, incidental, consequential, exemplary or punitive loss of any kind;
in each case whether or not foreseeable and whether or not we were advised of the possibility of such loss.
3.2 Aggregate cap. To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with these Terms and the Service, from all causes of action and under all theories of liability, shall not exceed the total Fees actually paid by you to us in the [SIX (6)] months immediately preceding the first event giving rise to the claim. Where no Fees have been paid, our aggregate liability shall not exceed [SGD 100].
3.3 No claim for damages. You acknowledge that the Fees reflect the allocation of risk set out in this clause 3, that the Service would not be offered at these prices without it, and that you will not bring any claim for damages against us except as expressly permitted by this clause 3 or by applicable law that cannot be excluded.
3.4 Claim period. Any claim must be brought within [TWELVE (12)] months of the event giving rise to it, after which it is permanently barred.
3.5 Preserved rights. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Where applicable law does not permit the exclusion or limitation of certain liabilities, our liability is limited to the maximum extent permitted by that law.
4. Pricing and Fees
4.1 Structure. Fees comprise (a) a per-seat subscription fee and (b) listing fees payable on successful transactions. Current rates are available in the customer billing page, which forms part of these Terms.
4.2 Per-seat subscription
(a) Seats. A seat is a named individual user authorized to access the Service under an account on a device. Seats are personal to a user account and may not be shared. You may reassign a seat to a different user where the original user permanently ceases to require access.
(b) Early access. Accounts admitted to our early access program receive a specified number of seats at no charge for the period we designate ("Early Access Seats"). Early Access Seats are a discretionary commercial concession, not a contractual entitlement. We may vary the number of Early Access Seats, or convert them to paid seats, on not less than 30 days written notice. Continued use of the Service after that period constitutes acceptance of the applicable subscription fee.
(c) Paid subscription. Accounts outside the early access program pay a monthly fee per seat at the rate then published. Subscription fees are billed monthly in advance and are payable regardless of actual usage.
(d) Adding and removing seats. Seats added mid-cycle are charged pro rata from the date of addition. Seats removed mid-cycle take effect at the start of the next billing cycle. Any credit or refund is governed by our Refund Policy.
(e) Fee changes. We may change subscription rates on not less than [THIRTY (30)] days' written notice. Changes take effect at the start of your next billing cycle. If you do not accept a change, your sole remedy is to terminate under clause 7 before it takes effect.
4.3 Platform Listing fees
(a) Nature of the fee. A platform listing fee is consideration for platform services supplied in respect of a listing, including publication, hosting, distribution to connected channels, and record-keeping for the resulting transaction. It is a fee for software services rendered by us to you. It is not a commission, brokerage, agency fee, referral fee, finder's fee or share of your remuneration, and nothing in these Terms constitutes us as your agent, broker, sub-agent, or as a party to any transaction between you and any third party.
(b) When payable. Listing fees fall due on the occurrence of a Qualifying Event in respect of a listing published through the Service. A "Qualifying Event" means the recording of a completed sale or service against that listing in the Service.
(c) Variable rates. Listing fee rates vary by jurisdiction, market, product and listing category, reflecting differences in prevailing market rates, income levels, transaction values, local cost of delivery and applicable regulatory requirements. The rate applicable to a listing is displayed to you before the listing is published.
(d) Rate changes. We may change published listing fee rates at any time. Changes apply only to listings created after the change takes effect. Rates applicable to an existing listing are fixed for the duration of that listing.
(e) Listing Reporting and accuracy. You are responsible for accurately and promptly recording transaction outcomes in the Listing Service. You agree not to record, omit, delay, alter or structure any record for the purpose of avoiding or reducing a listing fee. We may audit your records on reasonable notice, and may request details regarding suspicious transactions.
(f) Caps and minimums. Where a maximum or minimum listing fee may applies to a specific jurisdiction or category, it will be stated on the pricing page within the user portal.
4.4 Invoicing and payment
(a) Fees are invoiced if possible in the organization currency, otherwise in USD and are payable within 14 days of the invoice date, or on issue where collected by card or bank transfer using an integrated payment provider.
(b) All amounts visible in our system are exclusive of value added tax, goods and services tax, sales tax and any similar indirect tax, which will be added where applicable at the prevailing rate by our payment service provider.
(c) Withholding and gross-up. All amounts are payable free and clear of any deduction or withholding. If you are required by law to deduct or withhold any amount, you shall increase the sum payable so that we receive the amount we would have received had no deduction or withholding been made, and shall promptly deliver to us a valid withholding tax certificate or equivalent official receipt in respect of the amount withheld.
(d) Late payment. Overdue amounts accrue interest at 10% per month or the maximum rate permitted by law, whichever is lower, from the due date until paid. We may suspend access to the Service in respect of any account with amounts overdue by more than 14 days, without liability.
(e) Disputes. You must notify us of any disputed invoice within 14 days of the invoice date, setting out the basis of the dispute. Undisputed amounts remain payable in full and on time.
5. Refunds
5.1 Refund Policy. Refunds, credits and chargebacks are governed by our Refund Policy, published on our website, which forms part of these Terms. Except as set out in the Refund Policy or as required by applicable law that cannot be excluded, all Fees are non-refundable.
5.2 Precedence. In the event of any inconsistency between these Terms and the Refund Policy on a matter of refunds, credits or chargebacks, the Refund Policy prevails.
6. Customer Obligations

6.2 You will comply with all applicable laws including industry specific licensing, advertising, anti-money laundering, consumer protection and data protection laws, and will not use the Service to publish misleading, fraudulent or unlawful listings.
6.3 You are responsible for all activity under your account and for maintaining the confidentiality of credentials. You will notify us promptly of any unauthorized access.
6.4 You will not resell, sublicense, white-label or provide the Service to any third party except as expressly permitted, and will not attempt to reverse engineer, scrape, overload or circumvent access controls of the Service. Example of unauthorized sub-licensing : Reselling individual entity access to third party companies.
6.5 You are allowed within the capability of the software to use it as your own branded product without any mention of the original software name or brand visible to your own customers. Example of authorized branding : Develop your own network of franchised agencies.
7. Term, Suspension and Termination
7.1 Term. These Terms apply from account creation until terminated.
7.2 Termination by you. You may terminate at any time with effect from the end of the then-current billing period, via the account settings or by written notice. Listing fees already accrued remain payable.
7.3 Termination and suspension by us. We may suspend or terminate your access immediately, without liability, where you are in material breach, where amounts are overdue, where we reasonably suspect unlawful or fraudulent use, or where required by law or by a third-party provider on whom the Service depends. We may otherwise terminate for convenience on 30 days' written notice.
7.4 Effect of termination. Access ceases on the effective date. We will make your data available for export for 30 days following termination, after which we may delete it. Clauses 2.4, 3, 4.3, 5, 8 and 9 survive termination.
8. Data and Confidentiality
8.1 Each party will keep the other's confidential information confidential and use it only for the purposes of these Terms.
8.2 We process personal data in accordance with our Privacy Policy at [URL] and the Data Processing Addendum at [URL], which apply to the extent that we process personal data on your behalf.
8.3 You retain ownership of the content and data you submit. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, adapt and display it to the extent necessary to provide the Service, and to use aggregated, anonymized data that does not identify you or any individual to operate and improve the Service.

9.2 Dispute resolution. In case of any dispute, the courts of Singapore have exclusive jurisdiction.
9.3 Changes to these Terms. We may amend these Terms on not less than 30 days notice by email or in-product notification. Continued use after the effective date constitutes acceptance. If you do not accept an amendment, your sole remedy is to terminate before it takes effect.
9.4 Entire agreement. These Terms, together with the pricing page, Privacy Policy and Data Processing Addendum, constitute the entire agreement and supersede all prior discussions, representations and understandings.
9.5 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions shall continue in full force.
9.6 No waiver. A failure or delay in exercising a right is not a waiver of it.
9.7 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
9.8 Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.
