Refund Policy

Leany Pte. Ltd. a company incorporated in Singapore ("we", "us", "the Company").

Last updated: 04/10/2026 · Effective: 04/10/2026

1. Purpose

1.1 Scope. This Refund Policy ("Policy") sets out when fees paid for the Leany ERP platform and related services (the "Service") are refunded. It forms part of our Terms of Service. On any matter of refunds, credits or chargebacks, this Policy prevails over the Terms of Service.

1.2 Definitions. Capitalised terms not defined in this Policy have the meaning given to them in the Terms of Service.

2. Payments and the Merchant of Record

2.1 Merchant of record. Except as set out in clause 2.2, payments for the Service are processed by our reseller and merchant of record, Paddle.com Market Limited ("Paddle"). Paddle collects your payment details directly. We do not receive or store full payment card numbers.

2.2 Direct billing. Where Paddle does not support payments from the country in which you are established, we may bill you directly. In that case we are the seller, and payment is made to us by the method stated on the invoice.

2.3 How refunds are paid. Any refund we approve is issued to the original payment method, in the currency in which the payment was made: through Paddle where Paddle collected the payment, and by us where you were billed directly. The time taken for the funds to reach you depends on your bank or card issuer.

2.4 Taxes. Taxes added to a payment are refunded with the corresponding amount, to the extent they can be recovered by the party that collected them.

3. Subscription Fees

3.1 No refunds. Subscription fees are billed monthly in advance and are payable regardless of actual usage. Except as set out in this Policy or as required by applicable law that cannot be excluded, subscription fees are non-refundable. This applies to full and partial billing periods, to unused seats, to periods of non-use, and to periods during which the Service was unavailable, degraded or suspended.

3.2 Adding and removing seats. Seats added during a billing cycle are charged pro rata from the date of addition. Seats removed during a billing cycle take effect at the start of the next billing cycle, and no credit or refund is issued for the remainder of the current cycle.

3.3 No pro rata on termination. If you terminate, or if we terminate for your breach, no refund or credit is issued for the remainder of the then current billing period. Your access continues until the end of that period unless it is suspended under clause 4.4(d) or terminated under clause 7.3 of the Terms of Service.

3.4 Termination for convenience. Where the Service is terminated for convenience under clause 7.3 of the Terms of Service, the subscription fees paid for the portion of the then current billing period that follows the effective date of termination are refunded.

3.5 Early access. Early Access Seats involve no payment and therefore no refund. Where they are converted to paid seats, the paid subscription is subject to this Policy from the date of conversion.

3.6 Fee changes. If you do not accept a change to subscription rates, your sole remedy is to terminate before the change takes effect. No refund is issued for billing periods that began before termination.

4. Listing Fees

4.1 No refunds. Listing fees fall due on a Qualifying Event and are non-refundable once paid, including where a completed transaction is subsequently rescinded, varied or terminated.

4.2 Termination. Listing fees accrued before termination remain payable after termination.

5. Billing Errors

5.1 Refund of incorrect amounts. Where an amount has been charged in error, such as a duplicate charge or a charge made after a valid termination, we may refund or credit the incorrect amount, provided you notify us within 60 days of the charge. This is your sole remedy for a billing error.

5.2 How to notify us. Please write to billing@leany.io stating the account name, the invoice number, the amount concerned and the reason you consider it to have been charged in error. We will acknowledge your request and inform you of our decision in writing.

6. Disputed Invoices and Chargebacks

6.1 Disputes. Any disputed invoice must be notified to us within 14 days of the invoice date, setting out the basis of the dispute. Undisputed amounts remain payable in full and on time.

6.2 Chargebacks. Initiating a chargeback or payment reversal in respect of an undisputed amount is a material breach of the Terms of Service. You must first raise the matter with us under clause 5 or clause 6.1 of this Policy.

7. Discretionary Credits

7.1 We may issue a service credit at our sole discretion. A credit issued on one occasion creates no entitlement or expectation on any other occasion, has no cash value, is not transferable, and expires on termination.

8. Objection to a Sub-processor

8.1 Where you terminate an affected Service because of an objection to a new Sub-processor under clause 5.3 of our Data Processing Addendum, fees already paid are not refundable.

9. Statutory Rights

9.1 Preserved rights. Nothing in this Policy excludes or limits any right to a refund that you hold under applicable law and that cannot lawfully be excluded or limited.

10. Changes to this Policy

10.1 We may amend this Policy on not less than 30 days' notice by email or in-product notification. The version in force at the time of a payment applies to that payment.
